#JUSTEggMyDad Official Contest Rules

BINDING AGREEMENT: In order to enter the Eat Just, Inc. Healthier Dad Sponsorship Contest (“Contest”), participants must agree to these Official Rules, and agree that a participant’s submission of an entry in the Contest constitutes agreement to these Official Rules. Participants may not submit an entry to the Contest and are not eligible to receive the prizes described in these Official Rules unless participants agree to these Official Rules. Therefore, participants should read these Official Rules to ensure they understand and agree. By entering or attempted to enter this Contest, participants agree to abide by all terms of these Official Rules, applicable social media terms and to be bound by the decisions of the Sponsor.  All federal, state, and local laws apply.  Failure to comply with these rules may result in disqualification. Contest is void where prohibited or restricted by law. 

SPONSOR: The Contest is sponsored by Eat Just, Inc., located at 300 Wind River Way, Alameda, California 94501 (“Sponsor”).   

ENTRY PERIOD: Entries into the Contest must be made between 10:00 a.m. Pacific Daylight Time (PDT) on Monday, June 13 2022 and 10:00 a.m. PDT on Tuesday, June 28 2022 (the “Entry Period”). The Sponsor’s computer system is the official timekeeping device with respect to all matters relating to the Contest.

ELIGIBILITY: The Contest is open to legal U.S. residents residing and physically located in any of the 50 United States or the District of Columbia, and who have reached the age of majority in the jurisdiction in which they live, at the time of Entry. Employees, officers, directors, agents or other representatives of Sponsor or of any of its parent companies, subsidiaries, affiliates, sales representatives, retailers, advertising and Contest agencies, and any others engaged in the development, production, execution or distribution of this Contest (“Contest Entities”), and all members of their immediate families and persons living in the same household with them, whether or not related, are not eligible to participate in the Contest. Immediate family members include spouse, parent, child, sibling, including step-parents, children, siblings, half siblings, and all their respective spouses, regardless of where they reside.

HOW TO ENTER: To be considered an entrant in the Contest (“Entrant”), an Entrant must enter the Contest via Instagram as follows: Entrants will be required to log-in to their Instagram account, respond to the Company’s post announcing the giveaway (or send @justegg a direct message) with their writing, explaining why Entrant believes that Entrant’s nominee should be the winner of the Prize, in compliance with the writing Requirements (“Writing”), and include the hashtag #SponsorMyDad in their post in order to become eligible for Contest judging. Creating an Instagram account is free. By creating an account however, entrants will be required to agree to the Instagram terms of service and privacy policy, as applicable.

Entrant must have a non-private Instagram account for their Entry to be publicly visible and entered in the Contest. Entrant may create a non-private Instagram account for free if Entrant does not already have one.

If an Entrant enters from their wireless phone, the Entrant’s wireless service provider may charge the Entrant. Entrants should consult their wireless-service providers regarding their pricing plans prior to entering. Message and data rates may apply.

WRITING REQUIREMENTS: The Writing must meet the following criteria:

• Creative, artistic and descriptive statement in English, explaining why Entrant believes that Entrant’s nominee should be considered the winner of the Contest;

• Originality of story or sentiment;

• Demonstrates sincerity, thoughtfulness or humor;

• Minimum of fifteen (15) words;

• Maximum of one thousand (1,000) words.

LIMIT: Each Entrant can earn One (1) Entry by per person across all social media accounts. If an Entrant enters more than one time or on more than one social media account, only their first Entry will be eligible for inclusion in the random selection process, and all subsequent Entries will be discarded.

SPECIFICATIONS REGARDING ENTRIES: By participating in this Contest, Entrant certifies that Entrant understands that Entrant and not Sponsor or any Contest Entity is solely responsible for the content of the Entry, that Entrant’s Entry is original, nothing in it has been previously published or won any other Contest, and that the Entry does not contain any material that would violate or infringe on the rights of any third party, including copyrights, trademarks, or rights of privacy/publicity, and in particular, Entrant represents that Entrant has the consent of any other person appearing in their Writing and to Sponsor’s use of the Writing in accordance with these Official Rules. Sponsor reserves the right in its sole and unfettered discretion to disqualify any Entry that it believes contains obscene, offensive, or inappropriate content, that does not comply with these Official Rules, or that is not consistent with the spirit or theme of the Contest. The decision of the Sponsor is final and binding on all matters relating to the Contest.

PUBLICITY RELEASE: By participating in this Contest, Entrant grants permission for the Sponsor and Contest Entities to use their Entry, Writing, name, likeness, biographical information, and any Prize awarded, in connection with the Contest, including announcements on Sponsor’s and Contest Entities’ social media and web pages, as well as for future advertising and publicity in any and all media now existing or hereafter devised throughout the world in perpetuity, without additional compensation, notification or permission.

USE OF PERSONAL INFORMATION: By participating in the Contest, Entrant agrees that they are providing their information to Sponsor and Contest Entities, not Instagram, and to use of Entrant’s personal information by Sponsor and Contest Entities for both online and offline direct marketing purposes, as well as for administration of the Contest including, without limitation, verifying Entrant’s eligibility, contacting Entrant regarding Entrant’s Entry, awarding the Prize, avoidance of fraud/tampering, compliance with legal obligations, and analytics and improvement of offerings. WINNER SELECTION & NOTIFICATION: During the Contest Period, the Sponsor, its agents and/or a panel of judges selected by the Sponsor (“Judges”) will be evaluating the Writings to ensure that they meet the Writing Requirements. Judges may be employees of the Sponsor or external, may or may not be listed individually on the Website, and may change before or during the Contest Period. Judging may take place in one or more rounds with one or more panels of Judges, at the discretion of the Sponsor. The Sponsor reserves the right, in its sole discretion, to disqualify any Entrant who submits a Writing that does not meet the Doodle Requirements. Incomplete entries or entries not complying with these Official Rules are subject to disqualification. On or about 1:00 p.m. PDT, June 28, 2022, Sponsor, its agents and/or Judges will select one (1) prize winner (“Winners”), from among all timely submitted, eligible Entries received during the Entry Period, for a total of one (1) prize. Winner may be announced, subject to verification, on the social media pages of Sponsor and/or Sponsor’s website. Winner will be contacted via direct/private message within twenty-four (24) hours of selection, to the social media account from which the Entry was posted to enter the Contest or to the email address provided by Entrant through the Website entry. Winner must respond to the winner notification message and fulfill any additional requirements contained in the winner notification message, including signing and returning an Affidavit of Eligibility, and Liability and Publicity Release (“Release”) to Sponsor within twenty-four (24) hours of notification. Upon satisfaction of these requirements, the Winner will be declared a Winner. In the event that Sponsor is unable to contact a Winner within 24 hours of its first attempt, or a Winner does not comply with all requirements in the winner notification message within the timeframe stated, Sponsor will disqualify that Winner and award the Prize to another eligible Entrant (a “Replacement Winner”) from among all remaining timely submitted, eligible Entries received. The Replacement Winner must comply with all the requirements of this paragraph and the winner notification message, in the same timeframes, as if they had been selected as the disqualified Winner or be disqualified in the manner set forth in this paragraph, in which case additional Replacement Winner will be selected in the same manner as set forth in this paragraph, until the Prize is awarded.

JUDGING: Each Writing will be evaluated and scored based on the following equally weighted criteria (“Criteria”):

• Adherence to the Writing Requirements and these Official Rules – 35%;

• Quality of the idea (includes creativity and originality) and how well it represents the Contest theme around Father’s Day and supporting health goals of loved ones – 25%;

• Quality of the Writing – how clearly and thoughtfully the Entrant communicates their story and the Contest theme through their written Entry – 10%;

• How meaningful the impact of the granting of the Prize will be on the Entrant’s life as described in the Writing – 30%.

TIE BREAKER: If two or more Entries are tied, the tied Entry with the highest score in the first applicable criterion listed above will be considered the higher scoring Entry. In the event any ties remain, this process will be repeated, as needed, by comparing the tied Entry scores on the next applicable criterion. If two or more Entries are tied on all applicable criteria, the panel of Judges will vote on the tied Entries.

WINNER REQUIREMENTS: Winner will be required to complete and return an Affidavit of Eligibility/Ownership, IRS W9 form, License of Work and Release of Liability/Publicity within ten (10) days of date of Company’s notification or a runner-up may be selected for the Prize. If such documents are not returned within the specified time period, prize notification is returned as undeliverable, Sponsor is unable to contact any winner or any winner is not in compliance with these Official Rules, Prize will be forfeited and, at Sponsor’s discretion, a runner-up may be selected for the applicable prize.

PRIZE: One (1) prize consisting of a year’s supply of Company’s JUST Egg product along with branded JUST Egg swag valued at $400 will be awarded (“Prize”). Prize may not be exchanged or redeemed for cash, sold or traded.  No prize transfer, assignment, or substitution by Winner is permitted except that the winner may transfer and/or share the Prize solely with his/her nominee as indicated in the Writing.  Sponsor reserves the right to substitute a prize, in which case a prize of equal or greater value will be awarded. Winner will be solely responsible for any and all local, state, and federal taxes, as well as any license and registration or other fees incurred by participation in the Contest, including but not limited to transportation costs, gratuities and other items of an incidental nature. The value of the Prize may be taxable as income, and each Winner is solely responsible for any taxes relating to the Prize received, including, but not limited to, all applicable federal, state, and local taxes if applicable. In that event, winner may be required to provide their social security number. Sponsor will report any individual winnings over $600 (in cash or fair market value of goods or services) in a one-year period to the Internal Revenue Service. Winner will receive a Form 1099 from Sponsor if Sponsor reports any winnings to the Internal Revenue Service. 

ENTRANT IDENTITY: In the event of a dispute regarding the identity of the individual entering the Contest or of the Winner of any Prize, the authorized account holder of the social media account used to participate in the Contest will be deemed to be the Entrant and must comply with these Official Rules. Authorized account holder means the natural person who is assigned to the account by the social media platform provider. Any questions regarding the authorized account holder of a social media account shall be determined by Sponsor in its sole discretion.

DISQUALIFICATION: Sponsor reserves the right in its sole discretion to permanently disqualify from this Contest any person it believes has violated these Official Rules, is not eligible to participate, who has provided false information, has or intends to act in a harassing or unsportsmanlike manner with respect to Sponsor, any Contest Entity, or any Entrant, or tampered with the operation of the Contest, including by hacking, attempting to participate via multiple accounts, using any bot or other automatic means to affect participation in or operation of the Contest, or to otherwise undermine the legitimate operation of the Contest. Sponsor’s decisions as to all issues, including eligibility/disqualification, shall be final. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

LIMITATIONS OF LIABILITY: This Contest is void where prohibited or restricted by law, and is subject to all applicable federal, state and local laws and regulations, and Sponsor’s Privacy Policy. Sponsor is not responsible for any liability arising out of Entrant’s participation in the Contest, including without limitation, for any problems related to technical malfunctions of electronic equipment, computer online systems, servers, providers, computer hardware or software failures, phone lines, traffic, congestion on the internet or any website, unauthorized intervention, or for any other technical problems including telecommunication miscommunication or failure, and failed, lost, delayed, incomplete, garbled, or misdirected communications which may limit a person’s ability to participate in the Contest. Sponsor is not responsible for any other errors or malfunctions of any kind, whether network, printing, typographical, human or otherwise relating to or in connection with the Contest, including, without limitation, errors or malfunctions which may occur in connection with the administration of the Contest, the announcement of Winner(s), or in any Contest-related materials. If for any reason this Contest is not able to be conducted as planned, including, but not limited to, by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, or based on the technical, legal and policy requirements of the platform(s) by which it is made available, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest, including awarding any Prize from among the Entries received up until the time of cancellation/suspension or modification that the Sponsor in its sole discretion determines are eligible and uncorrupted.

NO ASSOCIATION WITH INSTAGRAM AND RELEASE OF LIABILITY: This Contest is in no way sponsored, endorsed, or administered by, or associated with, Instagram. By participating, Entrant agrees to release, discharge, indemnify and hold harmless the Sponsor, Contest Entities, Instagram, and each of their respective officers, directors, employees, representatives, and agents from and against any claims related in any way to or arising out of the operation of this Contest or Entrant’s participation in it, as well as any claims, damages or liability due to any injuries, damages or losses to any person (including death) or to property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any Prize or participation in any Contest-related activity or participation in this Contest. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

DISPUTES; GOVERNING LAW. By entering this Contest, Entrant agrees that all matters arising out of or relating to this sweepstakes and these Official Rules are governed by, and construed in accordance with, the laws of California, without giving effect to any of its conflict of laws provisions thereof. Entrant further agrees that any legal suit, action, or proceeding arising out of or relating to this sweepstakes and these Official Rules shall be brought exclusively in the applicable federal or state courts located in San Francisco, California. ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CONTEST, OR ANYTHING AWARDED IN CONNECTION WITH THE CONTEST, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION. ANY RIGHT TO A TRIAL BY JURY IS HEREBY WAIVED.
